Guest Contributor Agreement

Background

Wellbeing Umbrella Ltd. welcomes inspirational, share-worthy and educational posts and videos from Guest Contributors who wish to share their insight, expertise or experience related to physical, mental and social wellbeing and/or running a small wellbeing business. Please read this Guest Contribution Agreement carefully and ensure that you understand it. Your acceptance of Our Guest Contribution Agreement is deemed to occur upon submission of your Contribution Content to Us.

1. Definitions and Interpretation

1.1 In these Terms of Use, unless the context otherwise requires, the following expressions have the following meanings:

“Content”means any and all text, images, audio, video, scripts, code, software, databases, and any other form of information capable of being stored on a computer that appears on, or forms part of, Our Site;
“Guest Contributor”means a person and/or User who writes or creates Content for Our Site;
“Contributor Content”means any Content added to Our Site by a Guest Contributor;
“Marketplace/Our Site”means wellbeingumbrella.co.uk the platform which hosts the Content of a Guest Contributor for Users, including Buyers and Sellers;
“We/Us/Our”means Wellbeing Umbrella Ltd, a private limited company registered in England under company 11344575, whose registered address is Suite 1, 33 Harehill Road, Littleborough, Lancashire OL15 9AD and whose main trading address is 49 Wigan Road, Hindley. Wigan. WN2 3BG

2. Information About Us

2.1 Our Site, www.wellbeingumbrella.co.uk, is owned and operated by Wellbeing Umbrella Ltd, a private limited company registered in England under Company Number 11344575, whose registered address is Suite 1, 33 Harehill Road, Littleborough, Lancashire OL15 9AD.

3. By Submitting Guest Contributor Content to Us, You Accept These Terms

3.1 By submitting Contributor Content to Us, via team@wellbeingumbrella.com, you (“Guest Contributor”) confirm that you accept the terms of this Agreement and that you agree to comply with them.

3.2 If you do not agree to these terms, you must not submit Contributor Content to Us.

3.3 You the Guest Contributor are an independent agent who is in business for him/herself. This Agreement shall not create the relationship of employer and employee, a partnership, or a joint venture. You shall have no authority to bind, obligate, or commit Us by any promise or representation. No monetary relationship is being created nor construed through this Agreement.

3.4 By submitting Content to Us, you the Guest Contributor agree you are not becoming part of the Site and cannot represent yourselves as a member/owner of the Site.

3.5 You (“Guest Contributor”) grants to Us the perpetual, non-exclusive, worldwide and royalty-free, transferable right to use your submitted Content, name, biography, images, video footage, social media information and likeness in connection with the publication of the Content under this Agreement.

4. Contribution Content Guidelines

4.1 When submitting Content for Our Site, you must do so lawfully, fairly, and in a manner that complies with the provisions of this Clause 4. Specifically:

4.1.1 Guest Contributor Content must be original work that have not been or intend to be published on any other website, forum, chat or social media network, and;

4.1.2 We reserve the right to reject any original Content for any reason upon receipt of said Content, and where necessary make edits to the piece to ensure the Content stays congruous with Our Site;

4.1.3 Guest Contributors are solely responsible for ensuring that submission of content to Us is not plagiarised or an infringement on copyright or other intellectual property right, for copy or images. We will not be responsible for any infringement of external publication rights now or in the future;

4.1.4 You the Guest Contributor agree to indemnify Us from all liabilities and claims arising out of any breach of your warranties and representations. This indemnification shall apply only to materials created or furnished by you and shall not extend to changes or additions made therein or thereto by Us or by other writers hired by Us;

4.1.5 Guest Contributors must be the copyright holder of image(s)/video(s) or the image(s)/video(s) must be licensed under an appropriate creative commons license or in the public domain;

4.1.6 Content submitted must comply in all respects with the content standards set out in Our Acceptable Use Policy;

4.1.7 We reserve the right to change/edit any image(s)/video(s) where necessary. If people are included in the image(s)/video(s), then the Guest Contributors must provide a written release allowing use of likeness. Video(s)/image(s) submissions must be relevant to the Content post;

4.1.8 When quoting others, Guest Contributors must properly and accurately cite sources;

4.1.9 Guest Contributor should ensure source links are completely listed as endnotes and not linked within the document. The website in which you are source linking must comply in all respects with the content standards set out in Our Acceptable Use Policy;

4.1.10 Guest Contributor Content will acknowledge the Guest Contributor’s authorship, but will become the property of Wellbeing Umbrella Ltd.;

4.1.11 Once the Guest Contributor’s Content has been submitted to Us, Guest Contributors may not publish it anywhere online, in part or in whole, including their own website or blog;

4.1.12 Guest Contributors may promote their article or video (“Content”) on their own website, Facebook, Twitter or other social media forums. Promotion should involve a proper tease and link to the Guest Contributor article or video (“Content”) published on Our Site;

4.1.13 Submissions in writing should be kept between 500 – 1000 words and submitted in Word format. Longer posts are permitted where necessary and relevant, but the final length of the article is decided by Us;

4.1.14 Affiliate links are prohibited and should not be included in Contributor Content post submissions. All links are subject to the approval of Us;

4.1.15 We reserve the right to add Our own affiliate links where appropriate;

4.1.16 Guest Contributors will receive writing credit as author of their post at the end of the article or video (“Content”). And will be afforded a short bio statement and a URL link within the author acknowledgement at the bottom of the article or video. Guest Contributors submitting Content related to the topic of running a business will instead be afforded one link to their website;

4.1.17 Guest Contributors acknowledge they shall not be entitled to any compensation for writing/creating the Content post or for any other compensation related to the Content post;

4.1.18 We reserve the right to refuse publication and remove Content as We see necessary. If removed Guest Contributors are free to use the content for their own purposes.

4.1.19 We reserve the right to amend these terms from time to time. Every time you wish to submit Contribution Content to Us, please check these terms to ensure you understand the terms that apply at that time.
