Wellness Event Terms & Conditions

Background

These Terms and Conditions set out the terms under which an Event Speaker space is sold by Us to customers booking a space to present their Talk, Demonstration or Workshop at Our “Wellness Events”. Please read these Terms and Conditions carefully and ensure that you understand them before purchasing and submitting a booking. You will be required to read and accept these Terms and Conditions when completing your booking. Your acceptance of Our Terms & Conditions is deemed to occur upon completing your booking. If you do not accept and agree with Our Terms and Conditions, you must refrain from booking an event speaker space.

1. Definitions and Interpretation

1.1 In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:

1.1.1 “We/Us/Our” – means Wellbeing Umbrella Ltd, a company registered in England under 11344575, whose registered address is Suite 1, 33 Harehill Road, Littleborough, Lancashire OL15 9AD

1.1.2 ‘’Speaker/You/Your” – means a business owner/business booking space to present their Talk, Demonstration or Workshop at Our Wellness Events.

1.1.3 “Event” – means an individual Wellness Event or Events as advertised on Our Social Media Platforms and Emailing List.

1.1.4 “Booking” – means the act of reserving an Event Speaker space to present their Talk, Demonstration or Workshop at Our Wellness Event/s in exchange for a fee.

2. Information About Us

2.1 Wellbeing Umbrella Ltd, a limited company registered in England under 11344575, whose registered address is Suite 1, 33 Harehill Road, Littleborough, Lancashire OL15 9AD.   

3. Bookings, Charity Donation & Payment

3.1 Bookings are accepted based on the agreed description of Talk, Demonstration or Workshop outlined prior to receiving the booking form. Any deviation from the description must be approved in writing by Wellbeing Umbrella Ltd prior to the event. 

3.2 Wellbeing Umbrella Ltd reserves the right to decline an application to present if, in their opinion, it is deemed unsuitable for the Wellness Event.

3.3 Timing schedule for the Event Speaker to present their Talk, Demonstration or Workshop will be allocated by Wellbeing Umbrella Ltd unless by prior arrangement has been agreed. 

3.4 Subletting or sharing speaker space is not permitted unless with the approval and agreement of Wellbeing Umbrella Ltd at the time of booking.

3.5 Wellbeing Umbrella Ltd will create a description of Your Talk, Demonstration or Workshop based upon the information You provide on Your Booking Form and in a way that best suits Our brand voice.

3.6 Wellbeing Umbrella Ltd reserves the right to refuse any Event Speaker without giving a reason.

3.7 Your Charity Donation to Our Charity Partner(s) is non-refundable and non-transferable. Under charity law, charities are not permitted to refund donations, other than in specific circumstances.  Some charitable organisations may be happy to authorise and issue a refund, but this can vary and there is no guarantee. If you would like to request a refund, you should speak directly with the charity you have donated to. The Charities Act 2011 can be found here.

3.8 Where Event payment is requested, full payment of the Event Speaker space includes a booking fee of £10.00 to secure: booking fees are non-refundable and non-transferable unless the event is cancelled by Wellbeing Umbrella Ltd.

3.9 We accept the following methods of payment;

3.9.1 Stripe Payment – Debit or Credit Cards (payment processing fees apply) via event booking form;

3.9.2 Bank Transfer: Wellbeing Umbrella Ltd, Sort code: 09-01-29, Account No: 25955998, please use Your ‘business name and event date’ as payment reference. Bank Transfer monies must be sent to Wellbeing Umbrella Ltd within 48 hours of submitting Your booking form.

3.10 If You believe that We have charged You an incorrect amount, please contact Us at hello@wellbeingumbrella.com as soon as reasonably possible to let us know.

4. Event Speaker Space

4.1 All Event Speakers should act with consideration and respect for other Event Speakers, attendees and the Wellbeing Umbrella team at all times: no activity should be disturbing or intrusive to others. Wellbeing Umbrella Ltd reserves the right to remove anyone who does not abide by this rule with forfeit of all monies paid.

4.2 You warrant that the Content:

4.2.1 materially conforms to the Brief;

4.2.2 is written, developed and prepared with the skill, care and ability of someone of Your experience in Your field of expertise;

4.2.3 is of a high standard and reasonably suitable for the Wellbeing Umbrella audience or workplace employees to whom it is addressed; and

4.2.4 does not contain anything which is illegal, blasphemous, defamatory or indecent or which infringes the statutory or common law rights of any third parties including any Intellectual Property Rights.

4.3 We take no responsibility for the Content, relying on You to write and construct this as appropriate. We may however, on reviewing the Content (if We choose to do so), request that You make changes to the Content, including editing, adapting and / or altering the Content in other ways so that the Content may be suitable for delivery at the Online Event/Webinar. We shall endeavor to provide You with sufficient notice and reasons for the requested changes, and shall take your views into account wherever possible.

4.4 Online Workplace Wellness Events are aimed at employees of corporate workplaces and involve the following;

4.4.1 20-30 mins Live Zoom webinar presentation slot;

4.4.2 You will not see the audience, but they will see and hear you;

4.4.3 The audience can engage with you via comments so you will need your chat open so that you can see comments;

4.4.4 The Event is promoted by the employer;

4.4.5 The Event will be recorded and accessible for approx.10 days, so that employees who couldn’t attend on the day can access later;

4.4.6 Your event info and bio will be part of pre and post event material;

4.4.7 Event info includes: name, business name, image, title, brief talk/demo overview, short bio and link to one desired URL e.g. website, sign up link, social media;

4.4.8 You’ll need to attend the event 45 mins before your own slot begins. This is to ensure there are no technical issues for you and that you are present; and

4.4.9 Opportunity for your recording to be placed on our YouTube channel.

4.5 Online Community Wellness Events are aimed at our wellbeing community and the audience of those participating in the events and involve;

4.5.1 20-30 mins Live Zoom webinar presentation slot;

4.5.2 You will not see the audience, but they will see and hear you;

4.5.3 The audience can engage with you via comments so you will need your chat open so that you can see them;

4.5.4 The Event will be promoted by us via social media and our ever-growing email list (plus promoted at least once to your own community too via social media or mailing list;

4.5.5 The event will be recorded and accessible to attendees for approx. 10 days;

4.5.6 Your event info and bio will be part of pre and post event material;

4.5.7 Event info includes: name, business name, image, title, brief talk/demo overview, short bio and link to one desired URL e.g. website, sign up link, social media;

4.5.8 You’ll need to attend the event 45 mins before your own slot begins. This is to ensure there are no technical issues for you and that you are present; and

4.5. Opportunity for your recording to be placed on our YouTube channel.

5. Promotion

5.1 Whilst We and the Workplace Employer Host endeavour to promote Events and Webinars and to maximise attendance, the nature of our Online Event/Webinar means that We cannot give any warranties that the intended participants or attendees can and will attend the Online Event/Webinar, that they will view or download it, nor that any relevant promotion and / or any publicity expected by You will be generated.

6. Cancellations

6.1 Cancellations must be given as soon as possible to give maximum notice and must be received in writing.  Cancellation by email or by post is effective from the date on which you send Us your message. Please use the following details;

6.1.1 Email: hello@wellbeingumbrella.com;

6.1.2 Post: Wellbeing Umbrella Ltd, 49 Wigan Road, Hindley, Wigan WN2 3BG.

In each case, providing Us with your name, address, email address and telephone number.

6.2 Full payments are required if a cancellation is made less than 8 weeks prior to the day of the wellness event.  If cancellation is made more than 8 weeks before the Wellness Event, then a refund less the booking fee will be given.

6.3 Refunds under this Clause 6 will be issued to you as soon as possible, and in any event within 21 calendar days of the day on which you inform Us that you wish to cancel.

6.4 Refunds under this Clause 6 will be made using the same payment method that you used when making your booking.

7. Insurance and Professional Certification

7.1 It is the responsibility of every Event Speaker to take out adequate insurance in respect to all liabilities in relation to the Wellness Events. Event Speakers are required to have minimum£1 million pound public liability insurance and a minimum of £1 million professional indemnity

7.2 Copies of appropriate Public Liability & Professional Indemnity Insurance and Professional Certificates must be included at the time of booking or renewal date (applicable to Event Speakers at Workplace Wellness Events only) No event speaker will be permitted to present their Talk, Demonstration or Workshop without current and sufficient insurance and professional certification, its absence will result in forfeit of all monies paid.

7.3 No responsibility is accepted by Wellbeing Umbrella Ltd for claims made against any products, services or treatments.

8. Intellectual property

8.1 You own all Intellectual Property in the Content and your Presentation and nothing in this Agreement transfers any Intellectual Property to Us.

8.2 You warrant that the Content is an original work and does not infringe the rights of any third party, including without limitation Intellectual Property Rights.

8.3 To the extent that the Content contains any third party Intellectual Property Rights (other than Wellbeing Umbrella Materials), You warrant that You have obtained from such third party the unrestricted, perpetual, worldwide permission for Wellbeing Umbrella Ltd and its licensees to Use such Intellectual Property Rights in the Content, for the purpose of the Event. All such third party Intellectual Property Rights shall be identified and acknowledged by You in the Content.

8.4 You will indemnify and keep Us indemnified at all times against any and all actions, claims, proceedings, costs and damages, and all legal costs and other expenses reasonably incurred by Us, or for which We may become liable, with respect to any Intellectual Property Rights infringement claim relating to or arising out of the Content or Your Presentation.

9. Photography

9.1 Event Speakers must not take photographs/video footage without the written consent of Wellbeing Umbrella Ltd.

10. Dress Code For Wellness Event

10.1 Wellbeing Umbrella Ltd.’s official event dress code is Business Casual/ Smart Casual. This won’t apply to Event Speakers who conduct workout activity e.g. fitness. The following dress code rules apply to all Event Speakers;

10.1.1 All clothes must project professionalism. Clothes that are too revealing or inappropriate aren’t permitted;

10.1.2 All clothes must be clean and in good shape. Discernible rips, tears or holes aren’t permitted;

10.1.3 Event Speakers must avoid clothes with stamps that are offensive or inappropriate

11. Recorded Events 

11.1 Where You give a Presentation at an Event recorded by or on behalf of Wellbeing Umbrella, the following conditions shall also apply:

11.1.1 We shall be responsible for recording the Online Event/Webinar and producing the Recording;

11.1.2 We shall be under no obligation to deliver the Online Event/Webinar or make the Recording available within any specified period of time but We shall endeavour to have it available within the timeframe indicated in the Brief, if any;

11.1.3 We will be the owner of the copyright in the sound recording and film of the Recording;

11.1.4 You agree to Your voiceover and/or performance being recorded and included in the Recording;

11.1.5 You hereby grant to Us a non-exclusive perpetual, irrevocable, royalty free, worldwide license in all languages and all media to Use, reproduce and publish the Content and Presentation and/or any extracts thereof in the media and territory set out in the Brief; and

11.1.6 the Fee is inclusive of any rights to further license fees, residuals, fees for rental right, or any equitable remuneration in respect of the Use of your Presentation.

12. Code of Conduct

12.1 Whilst participating at Our Wellness Events, Event Speakers must not conduct their business in a manner that could bring the reputation or integrity of the event and Wellbeing Umbrella Ltd into disrepute.

12.2 Wellbeing Umbrella Ltd reserve the right to stop or remove any act or person deemed to be inappropriate or to be detrimental to its interests.

12.3 Use of mobile phone and consuming refreshments by an Event Speaker whilst conducting a Talk, Demonstration or Workshop is prohibited.

13. Events Outside of Our Control (Force Majeure)

13.1 Wellbeing Umbrella Ltd will not be liable for any failure or delay in performing Our obligations where that failure or delay results from any cause that is beyond Our reasonable control.  Such causes include, but are not limited to: power failure, internet service provider failure, strikes, lock-outs or other industrial action by third parties, riots and other civil unrest, fire, explosion, flood, storms, earthquakes, subsidence, acts of terrorism (threatened or actual), acts of war (declared, undeclared, threatened, actual, or preparations for war), epidemic or other natural disaster, or any other event that is beyond Our reasonable control. This contract is subject to English law and the jurisdiction of the English courts.

14. How We Use Your Personal Information (Data Protection)

14.1 All personal information that We may use will be collected, processed, and held in accordance with the provisions of EU Regulation 2016/679 General Data Protection Regulation (“GDPR”) and Your rights under the GDPR.

14.2 For complete details of Our collection, processing, storage, and retention of personal data including, but not limited to, the purpose(s) for which personal data is used, the legal basis or bases for using it, details of Your rights and how to exercise them, and personal data sharing (where applicable), please refer to Our Privacy Policy.

15. Other Important Terms

15.1 If any of the provisions of these Terms and Conditions are found to be unlawful, invalid, or otherwise unenforceable by any court or other authority, that / those provision(s) shall be deemed severed from the remainder of these Terms and Conditions.  The remainder of these Terms and Conditions shall be valid and enforceable.
