TERM & CONDITIONS: WORKPLACE WELLNESS EXHIBITOR BOOKING
BACKGROUND:
These Terms and Conditions set out the terms under which an Exhibitor stand or space is sold by Us to customers booking a stand to exhibit Goods and/or Services at Our “Workplace Wellness Events”. Please read these Terms and Conditions carefully and ensure that you understand them before purchasing and submitting a booking. You will be required to read and accept these Terms and Conditions when completing your booking. Your acceptance of Our Terms & Conditions is deemed to occur upon completing your booking. If you do not accept and agree with Our Terms and Conditions, you must refrain from booking an exhibitor stand or space.

1.  Definitions and Interpretation
1.1 In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:
  • 1.1.1  “We/Us/Our” - means Wellbeing Umbrella Ltd, a company registered in England under 11344575, whose registered address is Suite 1, 33 Harehill Road, Littleborough, Lancashire OL15 9AD;
  • 1.1.2  "Exhibitor/You/Your” - means a customer/exhibitor/s booking a stand to exhibit Goods and/or Services at the Workplace Wellness Event;
  • 1.1.3  “Event” - means an individual Workplace Wellness Event or Events advertised on Our Social Media Platforms and Emailing List;
  • 1.1.4  “Booking” - means the act of reserving a stand or space to exhibit Goods and/or Services at Our Workplace Wellness Events in exchange for a fee.


2.  Information About Us
  • 2.1  Wellbeing Umbrella Ltd, a limited company registered in England under 11344575, whose registered address is Suite 1, 33 Harehill Road, Littleborough, Lancashire OL15 9AD.  

3.  Bookings & Payments
  • 3.1  Bookings are accepted based on of the agreed description of products and services outlined on the booking form. Any deviation from the description must be approved in writing by Wellbeing Umbrella Ltd prior to the event.  
  • 3.2  Wellbeing Umbrella Ltd reserves the right to ask You to remove any items on display which have not been declared previously on the booking form or agreed by Wellbeing Umbrella Ltd prior to the event. Wellbeing Umbrella Ltd reserves the right to decline any products or services, that in their opinion, is deemed unsuitable for the Workplace Wellness Event. 
  • 3.3  Wellbeing Umbrella Ltd reserves the right to decline an application to exhibit if, in their opinion, it is deemed unsuitable for the Workplace Wellness Event.
  • 3.4  Stands will be allocated by Wellbeing Umbrella Ltd unless by prior arrangement has been agreed.  
  • 3.5  Subletting or sharing stand space is not permitted unless with the approval and agreement of Wellbeing Umbrella Ltd at the time of booking. 
  • 3.6  Wellbeing Umbrella Ltd reserves the right to alter the floor plan at any time without consultation with the Exhibitors.  
  • 3.7  Wellbeing Umbrella Ltd will create a description of Your Goods and Services based upon the information You provide on Your Booking Form and in a way that best suits Our brand voice. 
  • 3.8  No extensions, additional tables or widening of stands is permitted unless previously agreed – if a larger stand is required then this must be stated on the booking form and payment made accordingly. 
  • 3.9  No posters are to be attached to the fabric of the building by drawing pins, sticky tape or similar – blue tack is permitted with great care unless stated within the final event details sent to You 4 weeks prior to event date; any damage charged by the venue will be passed on to the exhibitor.
  • 3.10  Consideration should be given to fellow Exhibitors and visitors in respect of playing music and burning of incense where permission has been given by the workplace venue (confirmation will be given in the final event details sent to You 4 weeks prior to event date). 
  • 3.11  Wellbeing Umbrella Ltd reserves the right to refuse any exhibitor without giving a reason. 
  • 3.12  Full payment of the exhibitor stand includes an initial booking fee of £25.00 to secure a stand: booking fees are non-refundable and non-transferable unless the event is cancelled by Wellbeing Umbrella Ltd. 
 
  • 3.13  We accept the following methods of payment; 
  • 3.13.1  Stripe Payment - Debit or Credit Cards (payment processing fees apply) via event booking form; 
  • 3.13.2  Bank Transfer: Wellbeing Umbrella Ltd, Sort code: 09-01-29, Account No: 25955998, please use Your ‘business name and event date’ as payment reference. Bank Transfer monies must be sent to Wellbeing Umbrella Ltd within 48 hours of submitting Your booking form. 
 
  • 3.14  If You believe that We have charged You an incorrect amount, please contact Us at hello@wellbeingumbrella.com as soon as reasonably possible to let us know. 
  • 3.15  Wellbeing Umbrella Ltd provide an approximate footfall estimate from workplace organisations and does its best to ensure attendance, Wellbeing Umbrella Ltd can not guarantee footfall and will not be held responsible if attendance is lower than expected. Refunds after an event are not possible.

4.  Stands And Exhibitors
  • 4.1  The Exhibitors are required to ensure that all banners, decoration and equipment is secure and does not have adverse effects on fellow Exhibitors and visitors. There will be 1 chair allocated to each stand, unless otherwise requested.  Use of tables extra to those supplied must be pre-agreed with Wellbeing Umbrella Ltd. 
  • 4.2  At events where Exhibitors are requested to wear a visitor badge /sticker, they should do so at all times and abide by the workplace event venue’s health and safety requirements. The use of visitor badges/stickers will be confirmed in the final event details sent to You 4 weeks prior to event date. 
  • 4.3 All Exhibitors should act with consideration and respect for other Exhibitors, workplace attendees and the Wellbeing Umbrella team at all times: no activity should be disturbing or intrusive to others. Wellbeing Umbrella Ltd reserves the right to remove anyone who does not abide by this rule with forfeit of all monies paid. ​
  • 4.4  Exhibitors must not cause any obstruction or disturbance to the neighbouring or adjoining premises at the Workplace Wellness Event in the process of moving into or out of the venue. ​
  • 4.5 Personal headsets are an alternative that Exhibitors and therapists can use to reduce noise and give workplace attendees a completely relaxed environment when participating in therapy.

5.  Stand Position 
  • 5.1  Although We do make every effort to accommodate Exhibitor’s requests, We cannot always do so. Wellbeing Umbrella Ltd will position stands as availability allows. Our decision is final.

6.  Cancellations
  • 6.1 Cancellations must be given as soon as possible to give maximum notice and must be received in writing.  Cancellation by email or by post is effective from the date on which you send Us your message. Please use the following details;
    6.1.1  Email: hello@wellbeingumbrella.com;
    6.1.2 Post: Wellbeing Umbrella Ltd, 49 Wigan Road, Hindley, Wigan WN2 3BG.
    In each case, providing Us with your name, address, email address and telephone number.
  • 6.2  Full payments are required if a cancellation is made less than 8 weeks prior to the day of the workplace event.  If cancellation is made more than 8 weeks before the Workplace Wellness Event, then a refund less the booking fee will be given.
  • 6.3  Refunds under this Clause 6 will be issued to you as soon as possible, and in any event within 21 calendar days of the day on which you inform Us that you wish to cancel.
  • 6.4 Refunds under this Clause 6 will be made using the same payment method that you used when making your booking.


7.  Insurances and Professional Certifications
  •  7.1   It is the responsibility of every exhibitor to take out adequate insurance in respect to all liabilities of the stand holders in relation to the Workplace Wellness Events. Exhibitors are required to have minimum £1 million pound public liability insurance and a minimum of £1 million professional indemnity for any products & treatments.  Exhibitors are responsible for the safety of their stands and their own insurance cover for stock and equipment.  It is the exhibitor’s responsibility to be aware of and in compliance with any legislation that affects their activities such as labeling, weights and measures, products, services or treatments and to comply with such legislation. 
  • 7.2  Copies of appropriate Public Liability & Professional Indemnity Insurance and Professional Certificates must be included at the time of booking or renewal date. No exhibitor will be permitted to exhibit without current and sufficient insurance and professional certification, its absence will result in forfeit of all monies paid.
  • 7.3  No responsibility is accepted by Wellbeing Umbrella Ltd for claims made against any products, services or treatments or for any loss or damage to Exhibitors stock or equipment.

8.  Health & Safety
  • 8.1  No goods, furniture or storage items are permitted to block aisles, doorways or fire escapes. 
  • 8.2  Permission for the use of lighted candles, tea lights or incense burning will be confirmed in the final event details sent to You 4 weeks prior to event date.  Where permission has been granted all lighted candles, tea lights or burning incense must be housed in a covered vessel such as a candle holder, with the flame covered.  All must be accompanied by a fire blanket, extinguisher or/and a bucket of sand. 
  • 8.3  All Exhibitors requiring power must bring an extension lead. Cables must be secured & taped down to prevent slips, trips and falls. If You require electric, then You are asked to bring a cable of at least 10m+ in length.  Your equipment and leads must be checked to EEC regulations i.e. PAT tested. ALL electrical equipment must have a valid PAT test certificate. Any appliances or extensions used should be in a good state of repair, protected by the circuit Breaker with no obvious defects and carry the appropriate fuse for the appliance. 
  • 8.4  All Exhibitors must be present for the health and safety brief approximately 30 minutes before the event begins.
  • 8.5  All Exhibitors will be required to submit a risk assessment for their stand 6 weeks prior to the event date. We do have a template should You wish to use this, email; hello@wellbeingumbrella.com for a copy. No exhibitor will be permitted to exhibit without a current risk assessment form for their stand. 

9.  Set up and Dismantling
  • 9.1  Exhibitor access arrangements for event set up will be fully confirmed 4 weeks prior to the event. All Exhibitors are required to be set up and ready for the health and safety brief 30 minutes prior to the event start time. 
  • 9.2  After unloading, vehicles should be removed away from the loading areas as quickly as possible so as not to restrict access to others. 
  • 9.3  All Exhibitors are required to be set up and ready for the health and safety brief 30 minutes prior to the Workplace Wellness Event start time. This is so that You are ready to greet workplace attendees as soon as the event starts. 
  • 9.4  Exhibitors must not close down until the events official closing time, unless advised otherwise by Wellbeing Umbrella Ltd. Closing down before this time is not permitted, to prevent disruption to other Exhibitors and event attendees. 
  • 9.5  Exhibitors are responsible for leaving the workplace venue clean and tidy. All rubbish and leaflets must be removed from the site.

10.  Photography
  • 10.1  When taking photographs/filming at events, We display notices at the venue to inform participants of this. These notices advise Exhibitors and event attendees in advance that photography/ filming will be taking place, and how they can notify Us if they do not wish to be photographed/ filmed.
  • 10.2  Any images of workplace attendees/Exhibitors taken by the official workplace wellness photographer on the day will remain the property of the Wellbeing Umbrella Ltd and they reserve the right to use any such images to promote future Exhibitions.
  • 10.3  Unless stated within the final event details sent to You 4 weeks prior to event date, Exhibitors must not take photographs/video footage without the written consent of Wellbeing Umbrella Ltd.

11.  Table Presentation, Leaflets & Display Material
  • 11.1  All Exhibitors must supply their own table coverings, which must reach the floor to the front of the table for presentation purposes. Tables must be well presented.
  • 11.2  Leaflets and advertising or samples must remain within the bounds of Your stand area. Where possible there will be a designated area for leaflets, which Exhibitors are invited to use. 
  • 11.3  Exhibitors are prohibited from placing leaflets elsewhere in the venue (including toilet facilities) other than outlined in Clause 11.1.
  • 11.4  The use of blue-tack, Velcro, adhesive tape and drawing pins is prohibited on the fabric of the venue, unless stated within the final event details sent to You 4 weeks prior to event date, costs incurred for damage to the building from the use of these fixings will be passed on to the exhibitor concerned. 

12.  Dress Code For Workplace Wellness Event
  • 12.1  Wellbeing Umbrella Ltd.’s official event dress code is Business Casual/ Smart Casual. This won’t apply to Exhibitors who conduct workout activity e.g. fitness. The following dress code rules apply to all Exhibitors;
  • 12.1.1  All clothes must project professionalism. Clothes that are too revealing or inappropriate aren’t permitted;
  • 12.1.2  All clothes must be clean and in good shape. Discernible rips, tears or holes aren’t permitted;
  • 12.1.3  Exhibitors must avoid clothes with stamps that are offensive or inappropriate.

13. Talks, Demonstrations and Workshops
  • 13.1  Wellbeing Umbrella Ltd view event talks, workshops and demonstrations as a helpful way of informing and providing event attendees with a taster of the various therapies and services available to them. We also view them as an effective way for You to promote Your activities, services and products to a wider audience.
  • 13.2  All talks, workshops and demonstrations are presented free of charge to workplace event attendees at most of Our events. At most events time slots offered are up to approximately 30 minutes.
  • 13.3  Please indicate on Our workplace wellness interest form if You wish to present a talk/workshop or demonstration at an event.
  • 13.4  Wellbeing Umbrella Ltd reserves the right to allocate talks, workshops and demonstrations at their discretion.


14. Code of Conduct
  • 14.1  Whilst participating at the Workplace Wellness Event, Exhibitors must not conduct their business in a manner that could bring the reputation or integrity of the event and Wellbeing Umbrella Ltd into disrepute.
  • 14.2  Wellbeing Umbrella Ltd reserve the right to stop or remove any act, display item or person deemed to be inappropriate or to be detrimental to its interests.
  • 14.3  Exhibitors are responsible for any damage caused to the fabric of the workplace venue by their activities while participating at the Workplace Wellness Event.
  • 14.4  Use of mobile phone and refreshments by Exhibitors whilst positioned at their stand are requested to be carried out discreetly.


15. Events Outside of Our Control (Force Majeure)
  • 15.1  Wellbeing Umbrella Ltd will not be liable for any failure or delay in performing Our obligations where that failure or delay results from any cause that is beyond Our reasonable control.  Such causes include, but are not limited to: power failure, internet service provider failure, strikes, lock-outs or other industrial action by third parties, riots and other civil unrest, fire, explosion, flood, storms, earthquakes, subsidence, acts of terrorism (threatened or actual), acts of war (declared, undeclared, threatened, actual, or preparations for war), epidemic or other natural disaster, or any other event that is beyond Our reasonable control. This contract is subject to English law and the jurisdiction of the English courts.

16.  How We Use Your Personal Information (Data Protection) 
  • 16.1  All personal information that We may use will be collected, processed, and held in accordance with the provisions of EU Regulation 2016/679 General Data Protection Regulation (“GDPR”) and Your rights under the GDPR.
  • 16.2  For complete details of Our collection, processing, storage, and retention of personal data including, but not limited to, the purpose(s) for which personal data is used, the legal basis or bases for using it, details of Your rights and how to exercise them, and personal data sharing (where applicable), please refer to Our Privacy Policy.

​17.  Other Important Terms
  • 17.1  If any of the provisions of these Terms and Conditions are found to be unlawful, invalid, or otherwise unenforceable by any court or other authority, that / those provision(s) shall be deemed severed from the remainder of these Terms and Conditions.  The remainder of these Terms and Conditions shall be valid and enforceable.

ONLINE WORKPLACE WELLNESS RESOURCE BOOKING TERMS & CONDITIONS

TERMS OF SALE 

BACKGROUND:
These Terms of Sale set out the terms under which Business Showcase Ads are sold by Us to customers advertising in “Our Online Workplace Wellness Resource”. Please read these Terms of Sale carefully and ensure that You understand them before purchasing and submitting a Business Showcase Ad.  You will be required to read and accept these Terms of Sale when completing Your purchase.  If You do not agree to comply with and be bound by these Terms of Sale, You will not be able to purchase and submit a Business Showcase Ad in Our Online Workplace Wellness Resource.  These Terms of Sale, as well as any and all Contracts are in the English language only.

1. Definitions and Interpretation
  • 1.1 In these Terms of Sale unless the context otherwise requires, the following expressions have the following meanings:
  • 1.1.1  “We/Us/Our - means Wellbeing Umbrella Ltd, a company registered in England under 11344575, whose registered address is Suite 1, 33 Harehill Road, Littleborough, Lancashire OL15 9AD
  • 1.1.2  ‘’You/Your” - means a customer purchasing a Business Showcase Ad to exhibit Goods and/or Services in Our Online Workplace Wellness Resource.
  • 1.1.3  “Wellness Resource User/User” means a User of Our Online Workplace Wellness Resource;1.1.4  “Booking” - means the act of reserving a Business Showcase Ad to exhibit Goods and/or Services in Our Online Workplace Wellness Resources in exchange for a fee.
  • 1.1.5  “Wellness Provider” means a User that posts a Business Showcase Ad in Our Online Workplace Wellness Resource.
  • 1.1.6  “Ad Confirmation” means Our acceptance and confirmation of Your purchase of a Business Showcase Ad;
  • ​1.1.7  “Contract” means a contract for the purchase of a Business Showcase Ad, as explained in Clause 17;​
  • 1.1.8  “Business Showcase Ad/s” means a premium advertisement posted in Our Online Workplace Wellness Resource by a Wellness Provider, in exchange for a fee, providing details of the item or service offered by the Wellness Provider which can include Talks, Classes, Workshops, Demonstrations and Directory Business Showcase Ad/s featuring  Video and Audio recordings. 

2. Information About Us
  •  2.1  Wellbeing Umbrella Ltd, a limited company registered in England under 11344575, whose registered address is Suite 1, 33 Harehill Road, Littleborough, Lancashire OL15 9AD.  

3. Access to and Use of Our Online Workplace Wellness Resource
  • 3.1 Access to Our Online Workplace Wellness Resource is free of charge.
  • 3.2 Access to Our Online Workplace Wellness Resource is provided “as is” and on an “as available” basis. 
  • We may alter, suspend or discontinue Our Online Workplace Wellness Resource (or any part of it) at any time and without notice.  We will not be liable to You in any way if Our Online Workplace Wellness Resource (or any part of it) is unavailable at any time and for any period.

4. Business and Consumer Customers
  • 4.1 These Terms of Sale apply to both business and consumer customers.
  • 4.2 If You are a business customer, these Terms of Sale constitute the entire agreement between Us and You with respect to Your purchase of Business Showcase Ads from Us.  You acknowledge that You have not relied upon any statement, representation, warranty, assurance, or promise made by or on behalf of Us that is not set out in these Terms of Sale and that You shall have no claim for innocent or negligent misrepresentation or negligent misstatement based upon any statement herein.  

5. Bookings & Payments
  • 5.1 Business Showcase Ads are accepted based on of the agreed description of products and services outlined on the Online Workplace Wellness Booking form. Any deviation from the description must be approved in writing by Wellbeing Umbrella Ltd prior to the publication of the Online Workplace Wellness Resource.  
  • 5.2  Wellbeing Umbrella Ltd reserves the right to alter the format and layout at any time without consultation with You. 
  • 5.3  Wellbeing Umbrella Ltd reserves the right to refuse any Business Showcase Ads for the Online Workplace Wellness Resource without giving a reason. 
  • 5.4  Payment for Business Showcase Ads must always be made within 48 hours of completing Our Booking form. Unfortunately, Your participation within Our Online Workplace Wellness Resource is not confirmed until payment has been accepted. If no payment is received 48 hours after completing Our Booking form, We will assume You no longer wish to take part. 
  • 5.5  Payments due must be made in full, without any set-off, counterclaim, deduction, or withholding (except where any deduction or withholding of tax is required by law). 
  • 5.6  Full payment of the Business Showcase Ad includes an initial booking/Admin fee  to secure a Business Showcase Ad: Booking/Admin Fees are non-refundable and non-transferable unless the publication of the Online Workplace Wellness Resource is cancelled by Wellbeing Umbrella Ltd. 
  • 5.7 We accept the following methods of payment;
  • 5.7.1  Stripe Payment - Debit or Credit Cards (payment processing fees apply) via booking form; 
  • 5.7.2  Bank Transfer: Wellbeing Umbrella Ltd, Sort code: 09-01-29, Account No: 25955998, please use Your ‘business name ’ as payment reference. Bank Transfer monies must be sent to Wellbeing Umbrella Ltd within 48 hours of submitting Your booking form. 
  • 5.8  If You believe that We have charged You an incorrect amount, please contact Us at hello@wellbeingumbrella.com as soon as reasonably possible to let Us know. 

6.  Process of Business Showcase Ad
  • 6.1 Once We have received an Online Workplace Wellness Interest Form, We will send You a Booking Form to gain Your Business Showcase Ad information and request full payment for Your Business Showcase Ad, If Your Business Showcase Ad information is not submitted by the deadline We have given to you, the opportunity to be in Our Online Workplace Wellness Resource, along with any monies paid, is unfortunately forfeited.
  • 6.2 We will create a description for Your Business Showcase Ad based upon the information You provide on Your Booking Form and in a way that best suits Our brand voice.

7. Our Online Workplace Wellness Resource
  • 7.1 Our Online Workplace Wellness Resource is provided solely as an Online Workplace Wellness Resource for Wellness Resource Users and Wellness Providers. We are not a party to any transactions or other relationships between Wellness Resource Users and Wellness Providers. You hereby acknowledge and agree that:
  • 7.2 Wellness Resource Users are not making purchases from Us and are not entering into a contract with Us. A Wellness Resource User’s purchase is from You, and their contract is with You;
  • 7.3 We will not be a party to any dispute between You and any Wellness Resource User or another Wellness Provider. Any claims must be made directly against the party concerned;
  • 7.4 We do check the Wellness Providers professional credentials and valid insurance documents. However, We do not pre-screen the Wellness Providers services or any items that You advertise in Listings in Our Online Workplace Wellness Resource. We are not, therefore, in any way responsible for any items sold or for the content of any Listings; and
  • 7.5 While You are required to comply with these terms, which include provisions covering important matters such as payment methods, processing times, and delivery methods, We recognise that all Wellness Providers are different and may not accept the same payment methods, process transactions within the same time frame, or offer the same delivery methods (or prices). 

8.  Business Showcase Ads, Pricing and Availability
  • 8.1 We may from time to time change Our pricing. Changes in price will not affect any Business Showcase Ad that You have already purchased but will apply to any a new Business Showcase Ad.  
  • 8.2 There is a small Booking/Admin fee of £10.00 for Online Talks, Classes, Workshops or Demonstrations Ad and £5.00 per Directory Ad, Event Listing or Wellness Support Session Ad.
  • 8.3 In the unlikely event that We have shown incorrect pricing information, We will contact You in writing to inform You of the mistake.  If the correct price is lower than that shown when You made Your booking, We will simply refund any overpayment made and continue processing Your booking.  If the correct price is higher, We will give You the option to purchase the Business Showcase Ad at the correct price or to cancel Your booking.  We will not proceed with processing Your Business Showcase Ad in this case until You respond.  If We do not receive a response from You within 7 days, We will treat Your booking as cancelled and notify You of this in writing.
  • 8.4 If We discover an error in the price of Your Business Showcase Ad after Your booking is processed, We will inform You immediately and make all reasonable efforts to correct the error.  You may, however, have the right to cancel the Contract if this happens.  If We inform You of such an error and You do wish to cancel the Contract, please refer to sub-Clause 21.3.
 
9.         Business Showcase Ad Position
  • 9.1 Although We do make every effort to accommodate Business Showcase Ad’s requests, We cannot always do so. Wellbeing Umbrella Ltd will position Business Showcase Ads as availability allows. Our decision is final.

10. Insurances and Professional Certifications
  • 10.1  It is the responsibility of every Wellness Provider to take out adequate insurance in respect to all liabilities of the Business Showcase Ad in relation to the Online Workplace Wellness Resources. Wellness Providers are required to have minimum £1 million pound public liability insurance and a minimum of £1 million professional indemnity for any products & treatments.  Wellness Providers are responsible for their own insurance cover for stock and equipment.  It is the Wellness Provider’s responsibility to be aware of and in compliance with any legislation that affects their activities such as labeling, weights and measures, products, services or treatments and to comply with such legislation.
  • 10.2  Copies of appropriate Public Liability & Professional Indemnity Insurance and Professional Certificates must be included at the time of booking or renewal date. No Wellness Provider will be permitted to have a Business Showcase Ad without current and sufficient insurance and professional certification, its absence will result in forfeit of all monies paid. 
  • 10.3  No responsibility is accepted by Wellbeing Umbrella Ltd for claims made against any products, services or treatments or for any loss or damage Your stock or equipment. 
 
11.Dress Code For Online Workplace Wellness Resource
  • 11.1 Wellbeing Umbrella Ltd’s official dress code is Business Casual/ Smart Casual. This won’t apply to Wellness Providers who conduct workout activity e.g. fitness.
 
12.  Talks, Demonstrations and Workshops
  •  12.1 Wellbeing Umbrella Ltd view pre recordings of talks, workshops and demonstrations as a helpful way of informing and providing workplace employees with a taster of the various therapies and services available to them. We also view them as an effective way for You to promote Your activities, services and products to a wider audience.
  • 12.2 All talks, workshops and demonstrations are presented free of charge to workplace employees in Our Online Workplace Wellness Resource. Time slots offered are up to approximately 30 minutes.
  • 12.3 Please indicate on Our Online Workplace Wellness Interest Form if You wish to present a talk/workshop or demonstration in Our Online Workplace Wellness Resource.
  • 12.4 Wellbeing Umbrella Ltd reserves the right to allocate talks, workshops and demonstrations at their discretion.
 
13.  Code of Conduct
  • 13.1 Whilst participating in the Online Workplace Wellness Resource, Wellness Providers must not conduct their business in a manner that could bring the reputation or integrity of the event and Wellbeing Umbrella Ltd into disrepute.
  • 13.2 Wellbeing Umbrella Ltd reserve the right to stop or remove any act, display item or videos deemed to be inappropriate or to be detrimental to its interests.
 
14. Mistakes and Errors
  • 14.1 You must proofread and check the correctness Your Business Showcase Ad before You submit the Booking Form. In the case of multiple Business Showcase Ads, We assume no responsibility for the repetition of an error unless You have notified Us immediately when the error occurs and/or before the deadline We have given to you.

 Third Party Advertising
  • 15.1 We are not responsible for any Third Party Advertising in Our Online Workplace Wellness Resource. Each Third Party Wellness Provider is responsible for the content of their own Third Party Advertising. We will not be responsible for any Third Party Advertising in Our Online Workplace Wellness Resource including, but not limited to, any errors, inaccuracies, or omissions.
 
16.    Business Showcase Ad Orders – How Contracts Are Formed
  • 16.1 If, during the order process, You provide Us with incorrect or incomplete information, please contact Us as soon as possible.  If We are unable to process Your order due to incorrect or incomplete information, We will contact You to ask to correct it.  If You do not give Us the accurate or complete information by the deadline We given to you, opportunity to be in Our Online Workplace Wellness Resource, along with any monies paid, is unfortunately forfeited.
  • 16.2 Your Business Showcase Ad constitutes a contractual offer that We may, at Our sole discretion, accept.  Our acknowledgement of receipt of Your order does not mean that We have accepted it. Our acceptance is indicated by Us sending You a Booking Form by email.  Only once We have sent You the Booking Form will there be a legally binding Contract between Us and You.
  • 16.3 In the unlikely event that We do not accept or cannot fulfil Your order for any reason, We will explain why in writing.  No payment will be taken under normal circumstances.  If We have taken payment any such sums will be refunded to You.
  • 16.4 Any refunds due under this Clause 16 will be issued to You as soon as possible, and in any event within 14 calendar days of the day on which the event triggering the refund occurs.
  • 16.5 Refunds under this Clause 16 will be made using the same payment method that You used when purchasing Your Business Showcase Ad.
 
17.       Business Showcase Ads
  • 17.1 You agree that You will be solely responsible for Your Business Showcase Ad and its content.  We accept no responsibility for the content of Business Showcase Ads.  Specifically, You agree, represent, and warrant that You have the right to submit the Business Showcase Ad, that all the information in the Business Showcase Ad is accurate and truthful, that all such information will be kept accurate and up-to-date, that no personal data will be included that You do not have the right to include, and that the Business Showcase Ad will comply with Our Acceptable Usage Policy, detailed below in Clause 18.
  • 17.2 You agree that You will be liable to Us and will, to the fullest extent permissible by law, indemnify Us for any breach of the warranties given by You under subClause 17.1.  You will be responsible for any loss or damage suffered by Us as a result of such a breach.
  • 17.3 You (or Your licensors, as appropriate) retain ownership of the content of Your Business Showcase Ad and all intellectual property rights subsisting therein.  By submitting a Business Showcase Ad, You grant Us an unconditional, non-exclusive, fully transferrable, royalty-free, perpetual, worldwide licence to use, store, archive, syndicate, publish, transmit, adapt, edit, reproduce, distribute, prepare derivative works from, display, perform, and sub-licence that Business Showcase Ad for the purposes of operating and promoting Our Online Workplace Wellness Resource.
  • 17.4 We are not responsible for the content or accuracy of, or for any opinions, views, or values expressed in Business Showcase Ads.  Any such opinions, views, or values are those of the relevant Wellness Provider, and do not reflect Our opinions, views, or values in any way.  We have no control over, nor any involvement in, Business Showcase Ads, and We accept no responsibility for any actions taken, or for any products or services provided by, any Wellness Provider. 

18.       Acceptable Usage Policy
  • 18.1 When submitting a Business Showcase Ad, You must not submit or otherwise do anything that:
  • 18.1.1 is obscene, deliberately offensive, hateful, or otherwise inflammatory;
  • 18.1.2 promotes violence;
  • 18.1.3 promotes or assists in any form of unlawful activity;
  • 18.1.4 discriminates against, or is in any way defamatory of, any person, group or class of persons, race, gender, religion, nationality, disability, sexual orientation, or age;
  • 18.1.5 is intended or otherwise likely to threaten, harass, annoy, alarm, inconvenience, upset, or embarrass another person;
  • 18.1.6 is calculated or is otherwise likely to deceive (including any unsubstantiated or unsupportable claims or comparisons concerning the subject matter of a Business Showcase Ad or any other advertisement in Our Online Workplace Wellness Resource);
  • 18.1.7 is intended or otherwise likely to infringe (or threaten to infringe) another person’s right to privacy or otherwise uses their personal data in a way that You do not have a right to;
  • 18.1.8 misleadingly impersonates any person or otherwise misrepresents Your identity or affiliation in a way that is calculated to deceive;
  • 18.1.9 implies any form of affiliation with Us where none exists;
  • 18.1.10 infringes, or assists in the infringement of, the intellectual property rights (including, but not limited to, copyrights, patents, trademarks, and database rights) of any other party; or
  • 18.1.11 is in breach of any legal duty owed to a third party including, but not limited to, contractual duties and duties of confidence. 

19. Problems with Our Service and Consumers’ Legal Rights
  • 19.1 We will provide Our service to You with reasonable care and skill, consistent with best practices and standards in Our market, and in accordance with any and all information provided by Us about Our services and about Us.  We always use reasonable endeavours to ensure that Our services are troublefree.  If, however, there is a problem with Your Business Showcase Ad or with any other aspect of Our services, please contact Us as soon as is reasonably possible via hello@wellbeingumbrella.com.  We will use reasonable endeavours to remedy problems as quickly as is reasonably possible and practical.
  • 19.2 If You are a consumer, You have certain legal rights if You purchase services and problems arise.  For full details of Your legal rights and guidance on exercising them, it is recommended that You contact Your local Citizens Advice Bureau or Trading Standards Office.
 
20.       Ending the Contract
  • 20.1 If You purchase a Business Showcase Ad by mistake, please inform Us within 5 days and We will cancel the purchase and issue a full refund.  If You do not inform Us within 5 days, We will not be able to offer any refund.
  • 20.2 If You wish to exercise Your right to cancel under this Clause 20, You may inform Us of Your cancellation in any way You wish. Cancellation by email or by post is effective from the date on which You send Us Your message. If You would prefer to contact Us directly to cancel, please use the following details: 
  • 20.2.1 Email: hello@wellbeingumbrella.com 
  • 20.2.2 Post: Wellbeing Umbrella Ltd, 49 Wigan Road, Hindley, Wigan WN2 3BG. In each case, providing Us with Your name, address, email address, telephone number. 
  • 20.3 Refunds under this Clause 20 will be issued to You as soon as possible, and in any event within 14 calendar days of the day on which You inform Us that You wish to cancel.
  • 20.4 Refunds under this Clause 20 will be made using the same payment method that You used when purchasing Your Business Showcase Ad.

Ending the Contract Because of Something We Have Done (or Will Do)

  • 21.1 You may end the Contract at any time if We have informed You of a forthcoming change to Our services, or to these Terms of Sale that You do not agree to.  If the change is set to take effect or apply to You before the expiry date of Your Business Showcase Ad in Our Online Workplace Wellness Resource, We will issue You with a pro-rated refund equal to the time remaining on Your Business Showcase Ad.  If the change will not take effect or apply to You until the expiry date of Your Business Showcase Ad, the Contract will end on the expiry date and no refund will be due.
  • 21.2 If an event outside of Our reasonable control occurs and continues for more than 7 days, You may end the Contract immediately.  See sub-Clause 23.2.6 for more information.  If You end the Contract for this reason, We will issue You with a full refund.
  • 21.3 If We inform You of an error in the price of Your Business Showcase Ad and You wish to end the Contract as a result, You may end it immediately.  If You end the Contract for this reason, We will issue You with a full refund.
  • 21.4 You also have a legal right to end the Contract at any time if We are in breach of it.  You may also be entitled to a full or partial refund and compensation. For details of Your legal rights, if You are a consumer, please refer to Your local Citizens Advice Bureau or Trading Standards Office.
  • 21.5 If You wish to exercise Your right to cancel under this Clause 21, You may inform Us of Your cancellation in any way You wish. Contact Us directly to cancel, please use the following details:

  • 21.7 Refunds under this Clause 21 will be made using the same payment method that You used when purchasing Your Business Showcase Ad.  

22.       Our Liability    
  • 22.1 As stated in Clause 7, We are not a party to any transactions, other relationships, or disputes between Wellness Resource Users and Wellness Providers. Furthermore, as stated in sub-Clause7.4, We do not pre-screen Wellness Providers or any items that the Wellness Providers advertise Listings in Our Online Workplace Wellness Resource. We will not be responsible for any aspect of a transaction and make no warranties as to the quality, safety, or legality of item(s) purchased from Wellness Providers in Our Online Workplace Wellness Resource. Any claims pertaining to a transaction must be made directly against the Wellness Provider concerned.
  • 22.2 We will be responsible for any foreseeable loss or damage that You may suffer as a result of Our breach of these Terms for Wellness Resource Users or as a result of Our negligence.
  • 22.3 Subject to sub-Clause 17.2, to the fullest extent permissible by law, We will not be liable to You for any loss of profit, loss of business, interruption to business, or for any loss of business opportunity.
  • 22.4 Nothing in these Terms for Wellness Resource Users seeks to limit or exclude Our liability for death or personal injury caused by Our negligence (including that of Our employees, agents, or sub-contractors); or for fraud or fraudulent misrepresentation.
  • 22.5 Nothing in these Terms for Wellness Resource Users seeks to limit or exclude consumer customers’ legal rights. For more details of consumer customers’ legal rights, please refer to Your local Citizens Advice Bureau or Trading Standards Office

23.        Events Outside of Our Control (Force Majeure)
  • 23.1 We will not be liable for any failure or delay in performing Our obligations where that failure or delay results from any cause that is beyond Our reasonable control.  Such causes include, but are not limited to: power failure, internet service provider failure, strikes, lock-outs or other industrial action by third parties, riots and other civil unrest, fire, explosion, flood, storms, earthquakes, subsidence, acts of terrorism (threatened or actual), acts of war (declared, undeclared, threatened, actual, or preparations for war), epidemic or other natural disaster, or any other event that is beyond Our reasonable control.
  • 23.2 If any event described under this Clause 23 occurs that is likely to adversely affect Our performance of any of Our obligations under these Terms of Sale:
  • 23.2.1 We will inform You as soon as is reasonably possible;
  • 23.2.2 We will take all reasonable steps to minimise the delay;
  • 23.2.3 To the extent that We cannot minimise the delay, Our affected obligations under these Terms of Sale (and therefore the Contract) will be suspended and any time limits that We are bound by will be extended accordingly;
  • 23.2.4 We will inform You when the event outside of Our control is over and provide details of any new dates, times or availability as necessary;
  • 23.2.5 If the event outside of Our control continues for more than 7 days, We will cancel the Contract and inform You of the cancellation.  Any refunds due to You as a result of that cancellation will be paid to You as soon as is reasonably possible and in any event within 14 calendar days of the date on which the Contract is cancelled and will be made using the same payment method that You used when purchasing Your Business Showcase Ad;
  • 23.2.6 If an event outside of Our control occurs and continues for more than 7 days and You wish to cancel the Contract as a result, You may do so as described in sub-Clause 21.2.

27   Other Important Terms
  • 27.1 We may transfer (assign) Our obligations and rights hereunder to a third party (this may happen, for example, if We sell Our business).  If this occurs, You will be informed by Us in writing.  Your rights hereunder will not be affected and Our obligations hereunder will be transferred to the third party who will remain bound by them.
  • 27.2 You may not transfer (assign) Your obligations and rights hereunder without Our express written permission.  
  • 27.3 The Contract is between You and Us.  It is not intended to benefit any other person or third party in any way and no such person or party will be entitled to enforce any provision of these Terms of Sale.
  • 27.4 If any of the provisions of these Terms of Sale are found to be unlawful, invalid, or otherwise unenforceable by any court or other authority, that / those provision(s) shall be deemed severed from the remainder of these Terms of Sale.  The remainder of these Terms of Sale shall be valid and enforceable.

BACKGROUND:  Wellbeing Umbrella Ltd host Wellbeing Business Connect & Grow events to health & wellness providers who wish to connect and collaborate with each other in a bid to grow their businesses.

Please read these Event Booking Terms & Conditions carefully and ensure that you understand it. Your acceptance of Our Event Booking Terms & Conditions is deemed to occur upon the purchase of a ticket.  If you do not accept and agree with Our Event Booking Terms & Conditions, you must refrain from purchasing or attending an event. 

1. Definitions and Interpretation 
In this Event Booking Terms & Conditions, the following terms shall have the following meanings:

“we” and “us”
means Wellbeing Umbrella Ltd (registered in England and Wales under company number 11344575) a limited company registered in England, whose registered address is: Suite 1, 33 Harehill Road, Littleborough, Lancashire OL15 9AD ·
“Event”
means the individual event or events advertised on event ticketing platform Eventbrite - www.eventbrite.co.uk for which Tickets are available. ·
“Event Organiser”
means Wellbeing Umbrella Ltd, a third-party supplier or supplier of Tickets for the Events which may include a venue, speaker, promoter or other event organiser. ·
“Tickets” or “Bookings”
means rights to admission in the form of unique booking references. 
“You”
means an individual purchasing tickets using this Website or eventbrite website.
 
2. Our Ticket Terms and Conditions
These Terms and Conditions are between you and Wellbeing Umbrella Ltd and govern your purchase of tickets (“Tickets”) which are sold by Wellbeing Umbrella Ltd on event ticketing platform Eventbrite - 
www.eventbrite.co.uk

3. This ticket is proof of purchase and must be presented at the time of admission.
4.  This ticket is non-transferable and only one ticket is valid per ticket purchased.
5. Duplicate tickets will not be issued if your ticket is lost or stolen.
6. Tickets are not to be duplicated for the purpose of falsifying entry.
7. We regret that tickets cannot be exchanged or refunded after purchase unless the ticket or event is cancelled however, it will be at the discretion of the Event Organiser should they wish to do so.
8. The Event Organiser reserves the right to decline entry.
9. This ticket may be valid as an invoice or receipt.
10. This ticket has been formed using the Eventbrite site and is also subject to the Terms and Conditions of Eventbrite.
11. As the Event Organiser hosting this event, Wellbeing Umbrella Ltd is solely responsible for all issues relating to the sale of tickets. 12. Late arrivals will have to wait to be seated. There will be no refunds. Doors open approximately 30 minutes before the event start time.
13. Tickets cannot be resold by any means at a price greater than the purchase price of the ticket.
14. Any persons who are noisy, threatening, disruptive or intoxicated will be asked to leave the premises.
15. The event organiser has all rights to film, photo, video and audio production of this event.
16. If the event is cancelled due to unforeseen circumstances, a full refund will be issued to all attendees.
17. Any data collected for marketing purposes from this event will be strictly in accordance with the Privacy Policy.
